Crowfunding – raising money online to finance something – has obvious appeal in this era of social media and rapidly expanding Internet penetration.

For companies seeking to raise investment dollars, however, crowdfunding is largely unavailable as a tool to attract investors based in the U.S. Crowdfunding is currently impractical in the U.S. because all securities offered to U.S. investors must either be registered with the U.S. Securities and Exchange Commission (SEC) or there must be an applicable exemption from registration.

Registration with the SEC is very expensive and time consuming, and exemptions from registration are generally not available if the security is offered to the general public. Fortunately, crowdfunding and the anachronistic restrictions on the public offerings of securities are receiving a lot of attention these days. Despite all the positive signs, however, the future of crowdfunding remains very uncertain.

Support for a crowdfunding exemption is not universal. The Heart of the Law | Campbell Law Group. It’s not often that I hear lawyers talking about “heart.” In fact, we are trained in law school to detach ourselves from emotion and to apply the law dispassionately. We are inundated with human tragedy in the first year of law school through the study of criminal law and personal injury (torts), and somehow the human element is lost in the study of theory. As a business lawyer at a large international firm, I often worked on very large and complex legal transactions with a lot of zeroes.

I found that such deals were exciting and sexy in the abstract, but I did not find the day-to-day work very rewarding. Why did I enjoy working with entrepreneurs? Working in the world of social enterprise, the heart element is even more prominent. So, my heart was open and soft and vulnerable – and it broke when I witnessed day after day the abhorrent conditions in which so many of my fellow beings lived. Of course, this is true with all of the environmental and social problems throughout the world.
